1. Acceptance of These Terms

By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Beta Status

The Service is offered as a public beta. This means features may change or be removed, availability may be interrupted, performance and results may vary, and we may limit or discontinue beta access at any time.

3. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.

4. Account Registration and Security

You must provide accurate information and keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
Notify us immediately if you suspect unauthorized access.

5. Single-User Tenant Model (Beta)

During beta, the Service is designed for one user per tenant (one login per workspace). If a company needs multiple users, it must create and maintain separate tenants/workspaces (and separate subscriptions in the future, if applicable).

6. Your Data and Inputs

The Service may process data you upload or enter, including customer addresses, job locations, technician names, scheduling fields, and route outputs (“User Data”). You represent that you have the right to upload and use User Data and that doing so complies with applicable laws (including privacy and marketing laws).

7. Bring-Your-Own Maps Key

Some features may require a maps provider key that you provide (typically for local builds). You are responsible for obtaining and maintaining your key and complying with your provider’s terms and billing requirements, including any costs charged by that provider. We are not responsible for provider service outages, pricing changes, or API limitations.

8. License and Ownership

8.1 Our Intellectual Property

We own the Service, including software, design, and branding, and all related intellectual property rights. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the beta for your internal business purposes.

8.2 Your Content

You retain ownership of your User Data. You grant us a limited license to host, process, and display User Data solely to provide and improve the Service.

9. Acceptable Use

You agree not to:

violate laws or third-party rights,
upload malware or attempt to disrupt the Service,
attempt to access other users’ data or bypass tenant isolation,
scrape, reverse engineer, or exploit the Service beyond normal use,
use the Service to send unlawful communications or for unlawful tracking.

We may suspend or terminate accounts for violations.

10. Third-Party Services

The Service relies on third parties such as hosting and database providers (e.g., Netlify, Supabase) and mapping APIs (e.g., third-party mapping providers). We are not responsible for third-party services outside our control.

11. Service Availability; Changes

We may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee uptime, uninterrupted availability, or that any feature will remain available.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Routing and scheduling outputs are estimates and may be affected by input quality, geocoding accuracy, traffic conditions, and third-party services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTEMIZE YOUR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

14. Indemnification

You agree to indemnify and hold harmless Systemize Your from claims arising out of your User Data, your use of the Service, or your violation of these Terms.

15. Termination

You may stop using the Service at any time. We may suspend or terminate access at any time, including for security reasons or Terms violations.

16. Feedback

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide license to use it without compensation.

17. Governing Law; Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in North Carolina, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use after changes means you accept the updated Terms.
